Terms of Service

1. Acceptance of terms

By accessing or using KUEC UVenture ("UVenture" or the "Platform"), operated by Khalifa University Enterprises Company (KUEC) ("KUEC"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. Description of service

UVenture is an innovation and technology transfer platform for researchers, technology transfer teams, industry partners, investors, and related institutional roles. It supports projects, invention disclosures, commercialisation workflows, deals, and collaboration within your organisation's workspace.

Optional AI-assisted features are available only when you enable them under Settings → Privacy. AI outputs are advisory and do not replace professional, legal, or regulatory judgment.

3. Accounts and access

To use the Platform you must register for an account or sign in through an identity provider your institution enables. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your credentials and sign-in methods.
• Accept responsibility for activity under your account.
• Comply with your organisation's acceptable-use and research policies.

Institution single sign-on is subject to your identity provider's terms (for example Microsoft or Google).

4. Acceptable use

You must not use the Platform to:

• Violate applicable laws, export controls, or institutional rules.
• Infringe intellectual property or confidentiality obligations.
• Upload malware or attempt to disrupt the Platform.
• Harass users or misrepresent your identity or authority.
• Submit content you are not permitted to share.

5. Platform intellectual property

The Platform, its software, branding, and documentation are owned by KUEC or its licensors and protected by applicable intellectual property laws. These Terms do not grant you ownership of the Platform itself.

6. Your content

You retain ownership of research, disclosure, and other content you submit. You grant KUEC and your organisation a limited, non-exclusive licence to host, display, and process that content solely to operate the Platform, enforce visibility rules, and support workflows you participate in (including matching and collaboration you initiate).

7. AI features

When you enable AI processing, you instruct us to send relevant workspace content to AI service providers to generate responses. Provider privacy policies include:

• Anthropic
• Microsoft

You must review AI-generated content before use. KUEC does not warrant accuracy, completeness, or fitness for a particular commercial, legal, or regulatory purpose.

8. Privacy

Our Privacy Policy explains how we collect, use, share, retain, and erase personal information, including account deletion requests submitted in Settings → Privacy.

9. Suspension, termination, and account deletion

We or your organisation may suspend or terminate access for breach of these Terms, security reasons, or operational need. You may request account deletion through Privacy settings; completion is subject to review and institutional or legal retention requirements described in the Privacy Policy.

10. Disclaimer

The Platform is provided on an "as is" and "as available" basis to the extent permitted by law. We do not guarantee uninterrupted operation or that outputs (including AI-generated material) are error-free.

11. Limitation of liability

To the fullest extent permitted by applicable law, KUEC and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates. Courts in Abu Dhabi have exclusive jurisdiction where permitted by law, without prejudice to mandatory rights you may have under applicable data protection law.
